Terms of Use

These terms govern ANDYL’s public websites, open-source community surfaces, and contributor-agreement service. Repository licenses and signed agreements remain in control of the rights they grant.

Scope and eligibility

These Terms of Use (the Terms) are an agreement between you and Andyl, Inc., a Delaware corporation (ANDYL, we, us, or our). They apply to andyl.com, andyl.org, aos.andyl.org, cla.andyl.org, related ANDYL-operated APIs, and any other ANDYL-controlled website or online community service that links to these Terms (collectively, the Sites).

By accessing or using a Site, you agree to these Terms. If you use a Site on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Sites.

You must be at least 18 years old, or the age of legal majority where you live, to create an account, accept a contributor agreement, or use another feature that creates a legal obligation. The Sites are not directed to children.

Sites and accounts

Availability and changes

We may add, change, suspend, or discontinue any Site or feature. Public previews, development roadmaps, interfaces, formats, and experimental features may change without notice. Unless we agree otherwise in writing, we have no obligation to provide maintenance, support, or continued availability.

Accounts and credentials

Some Sites, including AOS Hub and the contributor-agreement service, use accounts or authentication. You must provide accurate information, keep credentials and authentication devices secure, and use an account only as authorized. You are responsible for activity performed through your account unless caused by our breach of these Terms or applicable law.

Notify us promptly at security@andyl.com if you suspect unauthorized access. We may restrict or suspend access when reasonably necessary to protect a Site, comply with law, investigate abuse, or enforce these Terms.

Acceptable use

You may not use a Site to:

  • violate applicable law or another person’s rights;
  • gain or attempt to gain unauthorized access to an account, system, or non-public resource;
  • introduce malware or interfere with the integrity, security, or availability of a Site;
  • evade access controls, rate limits, authentication, or security testing boundaries;
  • misrepresent your identity, authority, affiliation, or the origin of submitted material;
  • use automated requests in a manner that materially disrupts a Site or burdens other users; or
  • use a Site to distribute unlawful, infringing, deceptive, or harmful material.

These restrictions do not limit rights expressly granted by an applicable open-source license, written authorization, or applicable law. Coordinated security research remains subject to any security policy published for the relevant project or Site.

Site content and feedback

Except for material governed by an open-source or third-party license, ANDYL and its licensors own the Sites and their text, graphics, branding, interfaces, and other content. We grant you a limited, non-exclusive, revocable right to access that content and use it for the purpose for which it is made available. No other right is granted by implication.

If you voluntarily send us a suggestion about a Site or ANDYL product that is not a software contribution and is not identified as confidential, you grant us a worldwide, perpetual, irrevocable, royalty-free right to use it without restriction or compensation. Do not send confidential information through a public issue, feedback channel, or unsolicited message.

ANDYL names, logos, product names, and visual identifiers are trademarks or service marks. Open-source licenses do not grant trademark rights except for the limited descriptive uses stated in those licenses.

Open-source software

Source code, documentation, packages, images, and other artifacts carrying a license notice are governed by the license applicable to that material, not by the content-license restrictions in these Terms. If these Terms conflict with an applicable open-source license, the open-source license controls for that material.

A repository may contain components under different licenses. Consult the repository’s license files, SPDX identifiers, notices, and license map before using or redistributing it. For example, AOS is a multi-license aggregate whose repository license map identifies the controlling license for each major component.

Contributions and agreements

A code, documentation, or other project contribution is governed by the applicable repository license, contribution instructions, Developer Certificate of Origin requirement, and contributor agreement. The feedback provision above does not apply to those contributions.

A contributor agreement is effective only when accepted through the mechanism designated by ANDYL for the exact active version. The agreement controls the licenses, representations, and obligations within its scope. These Terms do not amend an accepted agreement, revoke a previously granted license, or change a repository’s licensing rules.

Third-party services

The Sites may link to or interoperate with third-party services, including GitHub, identity providers, recruiting services, and externally operated websites. Their terms and privacy notices govern your use of their services. We do not control and are not responsible for third-party services or content, and a link does not imply endorsement.

Disclaimers

To the maximum extent permitted by law, the Sites and Site content are provided “as is” and “as available.” ANDYL and its suppliers disclaim all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free operation.

Product descriptions, technical discussions, research, roadmaps, and preview materials may be incomplete and may change. You should not rely on them as a warranty, offer, safety assurance, or commitment to deliver a product or feature.

Open-source software and contributions are also subject to the warranty disclaimers and liability terms in their applicable licenses. Nothing here expands or reduces those license terms.

Liability and indemnification

To the maximum extent permitted by law, ANDYL and its officers, employees, suppliers, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities, arising from the Sites or these Terms.

To the maximum extent permitted by law, their total aggregate liability for all claims arising from the Sites or these Terms will not exceed one hundred U.S. dollars ($100). These limitations do not apply where liability cannot lawfully be limited.

To the extent permitted by law, you will defend and indemnify ANDYL and its officers, employees, and agents against third-party claims and reasonable costs arising from your unlawful use of a Site, your material violation of these Terms, or material you submit without the necessary rights. We will provide reasonable notice and allow you to control the defense, subject to our right to participate through counsel and approve any settlement that imposes an obligation or admission on us.

Governing law

These Terms are governed by Delaware law, without regard to conflict-of-law rules. You and ANDYL consent to the exclusive jurisdiction of the state and federal courts located in Delaware for disputes arising from the Sites or these Terms. Either party may seek injunctive or equitable relief in any court with jurisdiction to protect intellectual property, confidential information, or system security.

You are responsible for complying with applicable export-control and sanctions laws when accessing, using, or redistributing software or technical data.

Changes to these terms

We may update these Terms as the Sites or applicable requirements change. We will post the revised version, update its effective date, and provide additional notice when appropriate. Changes apply prospectively. Your continued use of a Site after the effective date means that the revised Terms apply to that use.

Material changes to these Terms do not amend an open-source license, contributor agreement, or separately signed contract. Previous versions are available by contacting us.

General and contact

Our Privacy Notice explains how we handle personal information. If a provision of these Terms is unenforceable, it will be modified only as much as necessary and the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, or transfer of the relevant Site or business. These Terms are the entire agreement about the Sites except for terms expressly identified as controlling a particular account, artifact, contribution, or transaction.
